What's your reason for the upgrade? According to this chart http://www.cpubenchmark.net/cpu_list.php, the cpu speed improvement (~16%) isn't much. Since you're upgrading the mobo, you'll have to re-install the OS. I don't think the effort is worth it.

Comment on CPU and Mother board upgrade?
I am planing to sell my current Phenom 8450 and Asus M3A78 for 120 and upgrade to a Phenom ii 550 with the Gigabyte GA-MA770-UD3, which will cost about 220. So it means I will need to pay 90 for that upgrade. So how do you guys think about that? Is it worth doing so? Or any suggestions?
PS I do not do a lot of multi tasking and I do not have a lot of budget.

recordman is right. The upgrade won't be too noticeable. Save up a bit more money and go with the Phenom II 940 instead.
I upgraded from Phenom 9850 and the difference was incredible for gaming. You'll see a much bigger improvement._______________

I think he's also doing it with the possibility of maybe trying to unlock the 2 other cores on it.
