It should be painless and you *shouldn't* notice a thing. But here is what happened to me: I had a pirated version of XP Pro installed (I bought the machine off someone and they were cheap enough to give me a copied version... grrr!). After a couple of weeks of using the computer, I went online and bought Media Center OEM. I upgraded and everything went Okay... except for IE7. Internet Explorer 7 gave some really weird errors everytime I tried to load it up. But all my games and settings for everything were perfect. But IE7 was so messed up that I eventually just formatted and installed Media Center from scratch.
It SHOULD be okay for you though, unless this is a known problem or something.
